These Terms of Service (“Terms”) govern your access to and use of SEMketeer, a web-based SEO and editorial planning platform operated by Boreas Digital Media LLC (“SEMketeer,” “we,” “us,” or “our”).
By accessing or using SEMketeer, you agree to these Terms. If you do not agree, you should not use the platform.
SEMketeer is a software platform designed to help agencies, consultants, marketing teams, and website owners manage SEO and editorial workflows.
The platform may include features such as:
SEMketeer is currently made available through controlled access and may be updated, changed, limited, or discontinued at any time.
You must be able to enter into a legally binding agreement to use SEMketeer. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
If you are using SEMketeer on behalf of a company, client, or organization, you represent that you have authority to use the platform and connect third-party services on their behalf.
You agree to provide accurate information and keep your account information current.
SEMketeer may support different user roles and permissions. Account owners and authorized administrators are responsible for inviting users, assigning roles, managing access, and ensuring that users only access accounts and data they are authorized to view or manage.
We are not responsible for unauthorized access caused by incorrect role assignment, shared credentials, or failure to remove users who should no longer have access.
SEMketeer may allow users to connect third-party services, including Google Search Console, Google Analytics 4, Google Ads, and PageSpeed Insights.
By connecting a third-party service, you authorize SEMketeer to access and use the data permitted by that integration for the purpose of providing visible application features.
You are responsible for ensuring that you have the right to connect any third-party account, property, website, analytics account, Google Ads account, or client asset to SEMketeer.
Third-party services are governed by their own terms and policies. SEMketeer is not responsible for changes, outages, limitations, errors, API restrictions, quota limits, or data availability issues caused by third-party services.
When you connect Google services, SEMketeer uses Google API data only to provide or improve user-facing features inside the application.
SEMketeer does not sell Google user data, does not use Google user data for advertising or retargeting, and does not transfer Google user data except as necessary to provide the service, comply with law, maintain security, or as otherwise described in our Privacy Policy.
Your use of connected Google services may also be subject to Google’s own terms and policies.
You agree not to misuse SEMketeer. You may not:

You retain ownership of the data and content you submit to SEMketeer, including client information, website URLs, SEO notes, keywords, editorial ideas, and other workspace data.
You grant SEMketeer a limited right to process, store, display, and use that data only as needed to provide, maintain, secure, and improve the platform.
You are responsible for the accuracy, legality, and authorization of the data you enter or connect to the platform.
SEMketeer provides tools for organizing and reviewing SEO, analytics, technical health, and editorial information. The platform may display data, charts, scores, recommendations, warnings, or insights based on available information.
SEMketeer does not guarantee search engine rankings, traffic increases, business results, revenue, conversions, or specific SEO outcomes. Search engines, analytics platforms, advertising platforms, websites, and third-party systems may change independently of SEMketeer.
All SEO and analytics information should be interpreted as decision-support data, not as a guarantee of performance.
Some SEMketeer features may be in beta, experimental, or early access. These features may change, produce incomplete results, contain errors, or be removed without notice.
By using beta features, you understand that they are provided for testing, feedback, and early operational use.
If SEMketeer is provided under a paid subscription, custom agreement, or service arrangement, payment terms will be provided separately.
We may introduce, change, or remove pricing plans in the future. Continued use of paid features may require acceptance of applicable payment terms.
SEMketeer, including its software, interface, design, branding, workflows, documentation, and underlying technology, is owned by [Legal Entity Name] or its licensors.
These Terms do not grant you ownership of SEMketeer or any intellectual property rights in the platform.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on SEMketeer unless expressly authorized in writing.
If you provide feedback, suggestions, bug reports, or feature ideas, you grant us the right to use that feedback without restriction or obligation to compensate you.
We aim to keep SEMketeer available and reliable, but we do not guarantee uninterrupted or error-free operation. The platform may be unavailable due to maintenance, updates, infrastructure issues, third-party service outages, security events, or other factors.
You may stop using SEMketeer at any time.
We may suspend or terminate your access if:

SEMketeer is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.
We do not guarantee that SEMketeer will meet your requirements, produce specific SEO results, be uninterrupted, be error-free, or remain compatible with all third-party services.
To the fullest extent permitted by law, [Legal Entity Name] and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of business opportunity, or SEO performance losses.
To the fullest extent permitted by law, our total liability for any claim related to SEMketeer will not exceed the amount you paid to use SEMketeer during the three months before the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.
You agree to defend, indemnify, and hold harmless Boreas Digital Media LLC from and against claims, damages, liabilities, losses, costs, and expenses arising from:
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles, unless applicable law requires otherwise.
We may update these Terms from time to time. When we do, we will update the effective date above. Continued use of SEMketeer after changes become effective means you accept the updated Terms.
